This Handover and Maintenance policy describes how the terms of handover when you (the "Client") enter into a service contract with nocodeassistant.agency or nocodeassistant.com (the “Site or Agency”).
SOURCE CODE
All our solutions are built using third party tools like Bubble, Adalo and Glide. As such, the source code of the solution lies with the respective third party tools. We do not have access to the source code as per the policies of these tools and if in future they grant us access to the source code, we will provide you access to the same in 28 business days.
IP OWNERSHIP
Except for the limited license to use materials provided by Client as may be necessary in order for Agency to perform services under any Contract, Agency is granted no right, title, or interest in any Client Intellectual Property.
Subject to Agency and third-party rights in Pre‐Existing Intellectual Property, all Deliverables, whether complete or in progress, and all Intellectual Property Rights related thereto shall belong to Client, and Agency hereby assigns such rights to Client.
Agency agrees that Client will own all patents, inventor’s certificates, utility models or other rights, copyrights or trade secrets covering the Deliverables and will have full rights to use the Deliverables without claim on the part of Agency for additional compensation and without challenge, opposition or interference by Agency and Agency will, and will cause each of its Personnel to, waive their respective moral rights therein. Agency will sign any necessary documents and will otherwise assist Client in securing, maintaining and defending copyrights or other rights to protect the Deliverables in any country.
HANDOVER OF DELIVERABLES
Upon termination or expiration of a project performed by Agency, whichever occurs first, Agency we will promptly return to Client all materials and or tools provided by Client and all Confidential Information provided by Client to Agency.
TRANSFER OF APPLICATION
Upon termination or expiration of a project performed by Agency, whichever occurs first, Agency will promptly transfer the Bubble, Adalo or Glide app to the Client's account. If the Client does not have an account, we will create one for you and share the login credentials with you.
MAINTENANCE
After the delivery, Client and Agency can enter into a retainer agreement where we'll help you maintain the project or make changes to the existing project as per the requirement. These contracts will help ensure that your project works as per expectations.
CHANGES
We may update this policy from time to time in order to reflect, for example, changes to our practices or for other operational, legal or regulatory reasons.
